1. Introduction and Acceptance
These Terms of Service ("Terms") form a binding agreement between you ("you", "User") and Alphaservus Consulting Services Ltd., a company incorporated in Cyprus with its registered address at 1 Stelios Kazantzides, Cyprus, trading as "tradesense technologies" ("Tradesense", "we", "us"). By registering for, accessing, or using the Tradesense service made available at app.tradesense.tech (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not access or use the Service.
The Service is currently offered as a beta program. Features, availability, and pricing may change during the beta phase without prior notice, and portions of the Service may be unstable or subject to interruption.
2. Definitions
- Broker — A brokerage organisation onboarded by Tradesense that uses the Service to administer its Trader accounts on the Match-Trader platform.
- Trader — An individual end-user who registers via a Broker-specific invite link to use trading, strategy, and monitoring features of the Service.
- Broker Account — The organisation-level account created for a Broker within the Service, including its administrators and configuration.
- Trader Account — The user-level account created for a Trader within the Service, linked to a Match-Trader trading account provisioned by the associated Broker.
- Strategy — A user-defined automated trading configuration, including technical indicators (e.g., RSI, MACD, Stochastic), entry/exit conditions, stop-loss, take-profit, and volume parameters.
- Execution — The dispatch of an order to the Match-Trader platform in response to Strategy conditions or manual action within the Service.
- Broker Cap — Risk limits, kill switches, or similar controls configured by a Broker for one or more of its Traders.
- Match-Trader — The third-party trading platform operated by Match-Trader (or its affiliates) to which the Service connects via public APIs.
3. Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract in your jurisdiction. By using the Service you represent and warrant that these conditions are met.
You are responsible for confirming that your use of the Service (and any trading activity you conduct through it) is lawful in your jurisdiction. Certain jurisdictions restrict access to leveraged forex or CFD trading; you must not use the Service if such use would violate applicable law.
You must not access or use the Service if:
- You are a "US Person" as defined under U.S. Securities and Exchange Commission Regulation S, or a resident, citizen, or entity organised under the laws of the United States of America;
- You are located in, or a resident, national, or entity of any country or region subject to comprehensive sanctions administered by the U.S. Office of Foreign Assets Control ("OFAC"), the European Union, the United Nations, or Cyprus (including but not limited to Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine);
- You are listed on any applicable sanctions or restricted-persons list (including the OFAC SDN list, the EU consolidated financial sanctions list, or the UN Security Council sanctions list).
Tradesense reserves the right to refuse service, suspend accounts, or terminate access without notice where any of the above applies or where continued service would violate applicable sanctions law.
4. Description of the Service
Tradesense provides a software-as-a-service platform that enables Brokers to administer their Traders' accounts on the Match-Trader platform and enables Traders to author, run, and monitor automated trading Strategies.
Broker-side features include Trader account management, risk caps, and kill switches. Trader-side features include Strategy authoring using technical indicators, automated Strategy execution with configurable stop-loss, take-profit and volume, position monitoring, and optional Telegram alerts.
Tradesense is a software provider only. Tradesense is not a broker, is not a party to any brokerage contract between a Broker and a Trader, does not hold client funds, does not execute trades on its own account, and does not provide investment advice.
5. Account Roles and Registration
The Service supports two account roles:
- Broker administrators are onboarded manually by Tradesense during the beta.
- Traders register via a Broker-specific invite link of the form
/signup/trader/[org_slug]/[connection_slug]provided by their Broker.
You must provide accurate, current, and complete information at registration and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity on your account. Notify us immediately at support@tradesense.tech if you suspect unauthorised access.
6. Broker Responsibilities
If you use the Service as a Broker, you represent, warrant, and agree that:
- You are licensed or otherwise authorised to conduct brokerage activity in each jurisdiction in which you offer accounts to Traders.
- You are solely responsible for onboarding your Traders, including all Know-Your-Customer ("KYC") and Anti-Money-Laundering ("AML") checks, sanctions screening, source-of-funds verification, and any suitability or appropriateness assessments required by law. Tradesense does not perform KYC or AML checks on Traders.
- You are solely responsible for your relationship with Match-Trader, including any licence, connection, or usage terms that govern your Broker/Manager/Admin API access.
- You are responsible for any risk caps, kill switches, margin policies, and related controls you configure for your Traders through the Service.
- You will comply with all applicable financial-services, consumer-protection, marketing, and data-protection laws in your jurisdiction.
7. Trader Responsibilities
If you use the Service as a Trader, you represent, warrant, and agree that:
- You have the legal capacity and authority to enter into the trading account maintained with your Broker.
- Any Match-Trader trading account you access through the Service is your own; you are trading with your own funds and for your own account.
- You have read, understood, and will comply with your Broker's own terms, disclosures, and risk warnings.
- You will not attempt to circumvent risk caps, kill switches, or other controls configured by your Broker, and you understand that such controls may pause or block your Strategies or orders.
- You accept full responsibility for the Strategies you author or activate and for all resulting Executions.
8. Relationship Between Brokers, Traders, and Tradesense
The contractual relationship between a Broker and its Traders (including the trading account, custody of funds, order execution, and any dispute over trading outcomes) is entirely separate from these Terms. Tradesense provides tooling only; Tradesense does not take custody of any funds and is not a counterparty to any trade.
Any dispute concerning the trading account itself, deposits, withdrawals, spreads, slippage, or order execution must be raised with the Broker of record.
9. Fees
During the beta phase, the Service is provided at no charge. Tradesense may introduce fees after the beta ends. Any introduction of, or change to, fees will be notified to the affected account holders at least thirty (30) days in advance by email and via an in-app banner. Continued use of the Service after the notice period constitutes acceptance of the new fees.
10. Prohibited Uses
You must not use the Service in any way that violates our Acceptable Use Policy ("AUP"), which forms part of these Terms and is incorporated by reference. Violation of the AUP may result in suspension or termination of your account.
11. Intellectual Property
The Service, including all software, source code, designs, trademarks, documentation, and content created by Tradesense, is and remains the sole property of Tradesense or its licensors. Subject to your compliance with these Terms, Tradesense grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose.
You retain ownership of the content you upload or create through the Service (including Strategy configurations and CSV templates). You grant Tradesense a limited licence to process such content solely for the purpose of providing and improving the Service.
You must not copy, modify, reverse-engineer, decompile, or create derivative works of the Service except to the extent expressly permitted by applicable law.
12. Third-Party Services
The Service relies on and interoperates with third-party services, including but not limited to Match-Trader (Broker, Manager, and Admin REST APIs, and the gRPC streaming API) and Telegram (for optional alerts). Tradesense is not responsible for the availability, accuracy, security, or performance of any third-party service, and is not liable for any loss caused by outages, errors, latency, misconfigurations, or changes made by any third-party service.
13. Risk Disclosures and Disclaimers
Trading forex and contracts for difference ("CFDs") involves substantial risk of loss and is not suitable for every person. Leverage magnifies both gains and losses. You may lose some or all of your invested capital, and in some cases you may owe more than you deposited.
- Tradesense does not provide investment, legal, tax, or financial advice. Nothing in the Service constitutes a recommendation to buy, sell, or hold any instrument.
- Past performance of any Strategy is not indicative of future results. Backtests, simulations, and indicator outputs are for informational purposes only.
- Tradesense does not guarantee the performance, profitability, or correctness of any Strategy, nor the availability, accuracy, or timeliness of any signal, indicator, or Telegram alert.
- Tradesense does not guarantee that any Broker will execute any order, or execute it at any particular price or time.
- The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any warranty of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
14. Limitation of Liability
To the maximum extent permitted by law, Tradesense, its officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or trading losses, arising out of or related to your use of the Service, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages.
During the beta phase, where no fees are charged, Tradesense's aggregate liability to you for any and all claims arising from or related to your use of the Service shall not exceed one hundred euros (€100).
15. Indemnification
You agree to indemnify, defend, and hold harmless Tradesense and its officers, employees, agents, and affiliates from and against any claim, demand, action, loss, liability, cost, or expense (including reasonable legal fees) arising from or related to (a) your use of the Service, (b) your trading activity and Strategies, (c) your breach of these Terms or the AUP, or (d) your violation of any law or the rights of any third party.
16. Term and Termination
These Terms take effect when you first accept them and continue in force until terminated.
- You may close your account at any time by contacting support@tradesense.tech or using in-app account-closure functionality, subject to any legal-retention obligations described in the Privacy Policy.
- We may suspend or terminate your access immediately and without notice for any material breach of these Terms or the AUP, or where required by law or by a competent authority.
- We may terminate the Service, or your account, for any other reason on at least thirty (30) days' notice by email.
On termination, sections that by their nature should survive (including sections 8, 11, 13, 14, 15, and 19) shall survive.
17. Data Handling and Privacy
Our processing of personal data is described in the Privacy Policy and, where cookies are involved, in the Cookie Policy. By using the Service you acknowledge those policies.
18. Changes to These Terms
We may amend these Terms from time to time. Where a change is material, we will give you at least thirty (30) days' notice by email and via an in-app banner before the change takes effect. Non-material changes (such as clarifications or typo fixes) may take effect immediately. Continued use of the Service after the effective date of the change constitutes acceptance.
19. Governing Law and Dispute Resolution
These Terms are governed by the laws of Cyprus, without regard to conflict-of-laws principles. The courts of Cyprus shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, save that Tradesense may bring proceedings to protect its intellectual-property rights in any competent court.
Before commencing proceedings, the parties will attempt in good faith to resolve any dispute by written negotiation for at least thirty (30) days.
For consumers resident in the European Union, the European Commission provides an Online Dispute Resolution ("ODR") platform accessible at https://ec.europa.eu/consumers/odr/. Tradesense is not required to and does not commit to using an alternative dispute-resolution body, but consumers may use the ODR platform to submit complaints. Nothing in this section limits any mandatory consumer rights under Cyprus or EU law.
